General Conditions of Sale for FADparis.com Exhibitors.

(This document has been translated from the French document, Conditions générales de vente pour les exposants du site FADParis.com. Should there be any doubt or misunderstanding, the French document shall prevail.)

Registation to FADparis.com as an exhibitor is reserved to professionals complying with the French legislation.

When subscribing to a pack option, the exhibitor agrees to the present General Conditions of Sale and the General Conditions of Use which have been the object of a separate document.

Order terms

Registration is made out in the exhibitor area and will be effective after:

  • The exhibitor's subscription to a Pack Option, the entry of his showcase and products on line,
  • The acceptance by PleinSite Ltd of the newly created showcase,
  • The receipt of the exhibitor's payment.

Tariff conditions

The tariff conditions established on the day of the subscription are detailed in the heading "Tariff conditions" on FADparis.com website or on demand to Pleinsite Ltd.
Pleinsite Ltd reserves the right to add to its existing tariffs and without delay, any new tax or increase in the existing tax rates.

Payment and billing terms

Subscriptions are biannual or annual and must be paid:

  • Either at the beginning of each period by cheque or by credit card on FADparis.com website
  • Or, either monthly or quarterly, by standing order.

In case of renewal, non-payment within a fortnight will entail the momentary deletion of the exhibitor's showcase and products on FADparis.com website.
Bills are sent by mail, if no objection.

Responsibility in case of non-fulfillment of contractual agreement

If, despite Pleinsite Ltd monitoring, an exhibitor realizes that a service sold to him/her has not been executed, he/she must, without delay and by every possible means (phone, mail, post), contact Pleinsite Ltd for the facts to be established.
If the facts prove true, the exhibitor will have to choose between pro rata reimbursement or later service execution.

Complaints

Any complaint is to be posted or mailed to Pleinsite Ltd.

Exhibitors' responsibility

The exhibitors are completely responsible as far as the contents of their advertisements on their presentation pages are concerned: product entries, photos, links to their new website. The exhibitors warrant the real or supposed quality of the products or services they are advertising. The exhibitors attest that:

  • They are the owners of the rights on products, entries and pictures they expose and put for sale: patrimonial rights (copy, representation, adaptation, delivery...) exploitation rights.
  • The products on display are not due to theft or forgery.
  • The products and photos on display comply with the legal and regular terms required in France.
  • The website, the visitors are directed to by their links, deal with decoration and comply with the legal and regular terms required in France.

The exhibitors commit themselves to delete from their showcase products that are not available any longer.

Password and login id use and protection:

Password and login id are under the sole and unique responsibility of the exhibitors. They are chosen by them and must not be disclosed. However, should there be any abuse of personal information by unscrupulous third party, in spite of the exhibitor's steadfast carefulness, PleinSite Ltd cannot be held liable for the consequences.

Limitation of liability

PleinSite Ltd monitors the technical side of FADParis.com website, its functionalities, maintenance and the quality of its services.

The exhibitors use FADParis.com website « as it is » without any specified or tacit guarantee about security or operability. Moreover, PleinSite Ltd does not guarantee that the software is devoid of errors, that it will work steadfastly, and that it will be compatible with the exhibitors' equipment and software configuration.

PleinSite Ltd cannot be held liable for the direct or indirect consequences of the online system failure or of abuse to the said system, facts foreseen and repressed by articles L 323-1 and following of the French penal code.

PleinSite Ltd's responsibility is limited to the agreements in the present general terms of sale and cannot be liable for:

  • Any damage caused by the exhibitors' non-commitment to their obligations,
  • Direct and indirect damage to the exhibitors due to FADParis.com use and performances
  • And, generally speaking, by any indirect damage.

Moreover, while agreeing to the present general conditions of sale, the exhibitors expressly admit that: Any financial or commercial prejudice or any action aimed at the exhibitors by a third party constitute an indirect damage and does not entail a right to repair by Pleinsite Ltd.

The exhibitors assume civil and penal responsibility due to the consequences of publication and will be the only ones to account for any court action from third parties or public authorities, for instance after untrue publicity.

PleinSite Ltd cannot in any way be liable for any direct or indirect damage to any visitors following the use of information, products or services, especially concerning damage linked to a buying process on a seller's website indexed by FADparis.com.

The exhibitors commit themselves to warrant PleinSite Ltd against any pursuit, judiciary and extra judiciary charges the latter would have to support due to any claim by a third party and more generally to a message, the diffusion of visual content or a link toward another website.

By no means can PleinSite Ltd, as well as other companies implied in the website creation and monitoring, be sued for damages as a consequence of erroneous contents, omissions or mistranslation.

Publication control

PleinSite Ltd reserves the right to interfere and delete any showcase, product, photo, entry or link (giving access to a website) that it would find contradictory with:

  • The website spirit (for instance: exhibitor's activity not dealing with decoration),
  • The website physical and moral interests,
  • The in force legislation on defamatory statements, racism, insult, concealment, counterfeiting, etc.

This cannot entitle the exhibitor to any damage.

Award of jurisdiction

The present General Conditions of Sale are subject to the French laws. Any dispute concerning the understanding and appliance of the former shall be submitted to exclusive arbitration of Paris Courts.
